By accessing machineranger.com or submitting any offer, deposit, or inquiry, you unconditionally agree to these Terms. If you do not agree, do not use this platform. These Terms supersede all prior agreements, representations, or understandings between the parties.
Machine Ranger operates solely as a marketplace facilitating introductions between buyers and sellers of heavy equipment. Machine Ranger is not a party to any transaction. We make no representations regarding the condition, accuracy, completeness, or legality of any listing. Buyers assume all risk associated with evaluating, purchasing, transporting, and using any equipment sourced through this platform.
All listing information — including but not limited to descriptions, photographs, specifications, hours, condition reports, and pricing — is provided by equipment owners and is believed to be accurate but is not warranted by Machine Ranger. Equipment is subject to prior sale at any time. Machine Ranger expressly disclaims any responsibility for errors, omissions, or inaccuracies in listing content.
ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES ONCE A SALE IS ACCEPTED, EXCEPT AS EXPLICITLY STATED IN SECTION 8 (DEPOSIT REFUND — INSPECTION REJECTION ONLY).
By submitting a deposit, Buyer acknowledges and agrees that:
Submitting an offer through Machine Ranger does not constitute a binding contract on the part of Machine Ranger or the Seller. All offers are subject to Seller's sole and absolute discretion. Machine Ranger does not guarantee that any offer will be accepted, that equipment will be available, or that any transaction will be completed.
A deposit of 10% of the listed price (minimum $500) is required to secure equipment and initiate the sales process. Deposits are payable via wire transfer, certified check, or credit card.
Deposits are non-refundable except as provided in Section 8. Submission of a deposit constitutes Buyer's agreement to these Terms in their entirety.
Following deposit, an inspection will be arranged at or near the Seller's location. The inspection is:
Buyer is responsible for arranging and paying for any third-party inspection. Machine Ranger does not conduct or warrant any inspection.
The deposit is refundable ONLY if ALL of the following conditions are met:
The following expressly DO NOT qualify for a deposit refund:
BUYER EXPRESSLY WAIVES ANY AND ALL RIGHTS TO CLAIM DAMAGES AGAINST MACHINE RANGER OR SELLER ARISING FROM CANCELLATION, DEFAULT, OR DISPUTE.
If Buyer cancels or defaults, the following tiered forfeiture schedule applies:
Tier 1 — Cancellation before inspection:
Deposit forfeited in full. No additional fee assessed.
Tier 2 — Cancellation after inspection but before written acceptance:
Deposit forfeited plus a liquidated damages fee of 10% of the purchase price, representing a genuine pre-estimate of Machine Ranger's relisting, administrative, and opportunity costs at this stage.
Tier 3 — Cancellation after written acceptance or non-payment within 5 business days:
Deposit forfeited plus a liquidated damages fee of 15% of the purchase price, representing Machine Ranger's costs including storage, freight, relisting, lost market opportunity, and administrative recovery.
In all tiers:
ALL EQUIPMENT IS SOLD AS-IS, WHERE-IS, WITH ALL FAULTS.
Machine Ranger and Seller expressly disclaim all warranties, express or implied, including but not limited to:
Buyer acknowledges that equipment hours are approximate and may not be verified. Seller's disclosure of known material defects over $5,000 impairing primary function does not create any broader warranty obligation beyond the Inspection Period.
BUYER ASSUMES ALL RISK OF LOSS AND DAMAGE UPON CARRIER HANDOVER (FOB SELLER'S LOCATION).
IMPORTANT — READ CAREFULLY. BY SUBMITTING A DEPOSIT OR OFFER, BUYER ACKNOWLEDGES READING AND AGREEING TO THIS SECTION IN FULL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Neither Machine Ranger nor Buyer shall be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to:
Machine Ranger's total liability for any direct claim shall not exceed the lesser of $500 or the fees paid to Machine Ranger in the preceding 12 months.
This limitation applies regardless of the theory of liability — contract, tort, strict liability, or otherwise — and even if Machine Ranger has been advised of the possibility of such damages.
This limitation is mutual. Neither party may claim consequential or punitive damages against the other.
Following inspection acceptance, Buyer must pay the remaining balance within 5 business days via wire transfer or certified check. Credit card payments are subject to a 3% processing surcharge. Late payments accrue interest at 1.5% per month (18% annually) plus all collection costs and reasonable attorney's fees. Non-payment within 5 business days constitutes cancellation and deposit forfeiture per Section 9 Tier 3.
Title and risk of loss transfer to Buyer upon full payment and delivery to the carrier at Seller's location (FOB Seller's location). Seller provides a bill of sale. All applicable taxes, licenses, registrations, and import/export duties are Buyer's sole responsibility unless exempt documentation is provided prior to shipment.
Buyer is solely responsible for freight arrangements unless agreed otherwise in writing prior to sale. Machine Ranger and Seller are not liable for delays, damage, or loss caused by carriers or force majeure events.
Damage claims must be made in writing to both Seller and the carrier within 24 hours of delivery. No damage claims will be considered after this window under any circumstances. Failure to inspect upon delivery or report within 24 hours constitutes acceptance in delivered condition.
Buyer shall defend, indemnify, and hold harmless Machine Ranger, its officers, directors, employees, agents, and Sellers from and against all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or relating to:
This indemnification obligation survives termination of any transaction or agreement.
All content on machineranger.com — including listings, photographs, descriptions, logos, and platform features — is the exclusive property of Machine Ranger. Unauthorized scraping, copying, redistribution, or reproduction of any content is strictly prohibited and constitutes a violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and the Digital Millennium Copyright Act (DMCA). Violators will be subject to civil and criminal prosecution.
By submitting equipment information or photographs, you grant Machine Ranger a non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, and distribute such content for marketing and promotional purposes.
ALL DISPUTES SHALL BE RESOLVED BY BINDING ARBITRATION. BUYER WAIVES ALL RIGHTS TO A JURY TRIAL AND CLASS ACTION LAWSUIT.
Small Claims Carve-Out:
Either party may bring individual claims in Florida small claims court for disputes under $8,000 without arbitrating.
For all other disputes, the following process applies:
Step 1 — Good faith negotiation:
Parties shall attempt resolution within 30 days of written notice of dispute.
Step 2 — Binding arbitration if unresolved:
Administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. For equipment condition or construction-related disputes, Machine Ranger may elect to use AAA Construction Arbitration Rules instead.
Arbitration shall take place in Miami, Florida, or virtually via AAA's Online Dispute Resolution platform at Machine Ranger's election.

All claims must be brought individually. No class, consolidated, or representative actions are permitted under any circumstances.
These Terms are governed by the laws of the State of Florida. Any proceedings not subject to arbitration shall be brought exclusively in the state or federal courts of Miami-Dade County, Florida. Buyer consents to personal jurisdiction in Miami-Dade County, Florida.
Listing equipment with Machine Ranger creates no financial obligation until a signed sales contract is executed. No fees are charged unless the equipment is sold.
Equipment owners represent and warrant that:
Machine Ranger reserves the right to remove any listing at its sole discretion. Listings will not display equipment owners' names or addresses. All transactions occur through Machine Ranger or its designated agents.
